B2B Pilot Evaluation Agreement

This Pilot Evaluation Agreement governs a company’s temporary, free use of the LicenseKeep Team tier for internal evaluation. Accept below before we activate a 30-day Team workspace.
1. Scope of Pilot & Access
Provider grants Company a non-exclusive, non-transferable right to access and use the Team tier of the Service for thirty (30) days from acceptance (the Pilot Period). Company may invite up to twenty-five (25) internal employees (Authorized Users) to evaluate the Service.
2. Restrictions on Use
Company and its Authorized Users shall use the Service solely for internal evaluation and business operations. Company shall not: (a) sell, resell, or lease the Service; (b) reverse engineer or attempt to discover the source code of the Service; or (c) use the Service to store illegal, patient health records, or restricted government data outside the scope of standard CE and professional license tracking.
3. Data Ownership and Privacy
Company retains all ownership rights to the data, employee profiles, and certificate files uploaded into the Service (Company Data). Provider will store Company Data using its third-party sub-processors (Supabase, Stripe, and Resend) in accordance with the LicenseKeep Privacy Policy. Upon termination, Company may request deletion of Company Data.
4. Disclaimer of Professional Advice & Liability Limit
The Service is provided strictly as an administrative tracking aid. It does not provide legal, employment, or regulatory advice. The Company and its Authorized Users remain solely responsible for verifying official compliance requirements with their licensing boards. During the Pilot Period, the Service is provided AS-IS without warranties of any kind. Provider accepts no liability for lapsed licenses, missed renewal deadlines, lost wages, regulatory penalties, or indirect damages. In no event shall Provider’s aggregate liability during the Pilot Period exceed fifty Canadian dollars ($50.00 CAD).
5. Term, Termination, and Next Steps
This Agreement begins on acceptance and expires automatically at the end of the thirty (30) day Pilot Period. Either party may terminate at any time for any reason with written notice. Upon expiration, Company may upgrade to a paid Team subscription subject to the standard Terms of Service, or access to the workspace may be suspended.
6. Governing Law
This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
