1. Service Limitations and Liability Disclaimer

LicenseKeep is an administrative record-keeping tool for continuing education and professional license renewal tracking. It does not provide legal, employment, or regulatory advice, and it does not replace official advice, requirements, or final compliance determinations from your licensing board, employer, or legal counsel.

The automated pacing calculators, reminders, and compliance statuses are estimates based entirely on user input.

Audit PDFs and exported logs are generated for personal documentation and convenience only.

The user or workspace owner remains solely responsible for verifying official state, provincial, or board compliance requirements. LicenseKeep accepts no liability for lapsed licenses, missed renewal deadlines, lost wages, regulatory fines, or other penalties arising from use of the Service, including user error, miscalculation, or downtime.

2. User Responsibilities

By creating an account, you agree to:

• Keep your login credentials secure.
• Provide accurate and up-to-date CE records and renewal dates, and audit the accuracy of certificates uploaded by you or your team.
• Only upload certificate files or documentation that you have the legal right to possess and store.
• If you manage a Team workspace, remain responsible for your Authorized Users’ compliance records and for confirming board requirements that apply to your organization.

3. Subscriptions, Billing, and Refunds

Access to premium features requires an active subscription processed through Stripe.

Subscriptions automatically renew at the end of your billing cycle (monthly or annually) unless canceled prior to the renewal date.

All subscription payments are strictly non-refundable. If you cancel your subscription, you will retain access to premium features until the end of your current paid billing period, after which your account will automatically downgrade to the free tier.

Temporary Team pilot evaluations, when offered, are provided AS-IS for evaluation only and are governed by the B2B Pilot Evaluation Agreement in addition to these Terms.

4. Governing Law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from the use of LicenseKeep shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec.
